30 | indicated in the License Grant below, Software will include Codec | ||
31 | Software including third party software as more fully described below | ||
32 | and identified on Attachment A; and software created or licensed to | ||
33 | Freescale. This Agreement does not concern your use of any files that | ||
34 | are subject to an "open source" software license, such as the Free | ||
35 | Software Foundation "General Public License," or "GNU GPL." In | ||
36 | consideration for Freescale allowing you to access the Software, you | ||
37 | are agreeing to be bound by the terms of this Agreement. If you do not | ||
38 | agree to all of the terms of this Agreement, do not download the | ||
39 | Software. If you change your mind later, stop using the Software and | ||

54 | the Software is provided in source code form (human readable), (5) to | ||
55 | prepare derivative works of the Software, (6) to distribute derivative | ||

65 | necessary licenses or permission for all Essential Patents for Codec | ||
66 | Software. "Essential Patent" means a patent to the limited extent that | ||
67 | infringement of such patent cannot be avoided in remaining compliant | ||
68 | with the technology standards implicated by the usage of any of the | ||
69 | Codec Software, including optional implementation of such standards, | ||
70 | on technical but not commercial grounds, taking into account normal | ||
71 | technical practice and the state of the art generally available at the | ||
72 | time of standardization. You may not translate, reverse engineer, | ||
73 | decompile, or disassemble the Software except to the extent applicable | ||
74 | law specifically prohibits such restriction. You will not assert | ||
75 | against Freescale any intellectual property right that you create in | ||
76 | preparation of any derivative works of the Software. If you violate | ||
77 | any of the terms or restrictions of this Agreement, Freescale may | ||
78 | immediately terminate this Agreement, and require that you stop using | ||
79 | and delete all copies of the Software in your possession or control. | ||

81 | COPYRIGHT. The Software is licensed to you, not sold. Freescale or | ||
82 | its licensor owns the Software, and United States copyright laws and | ||
83 | international treaty provisions protect the Software. Therefore, you | ||
84 | must treat the Software like any other copyrighted material (e.g. a | ||
85 | book or musical recording). You may not use or copy the Software for | ||
86 | any other purpose than what is described in this Agreement. Except as | ||
87 | expressly provided herein, Freescale does not grant to you any express | ||
88 | or implied rights under any Freescale or third party patents, | ||
89 | copyrights, trademarks, or trade secrets. Additionally, you must | ||

94 | SUPPORT. Freescale is NOT obligated to provide any support, upgrades | ||
95 | or new releases of the Software. If you wish, you may contact | ||
96 | Freescale and report problems and provide suggestions regarding the | ||
97 | Software. Freescale has no obligation whatsoever to respond in any way | ||
98 | to such a problem report or suggestion. Freescale may make changes to | ||
99 | the Software at any time, without any obligation to notify or provide | ||

102 | EXCLUDED LICENSES. You will not take or fail to take any action that | ||
103 | could subject the Software to an Excluded License. An Excluded | ||

169 | life-threatening environments requiring fail-safe performance, such as | ||

172 | machines or weapons systems, in which the failure of products could | ||
173 | lead directly to death, personal injury or severe physical or | ||

185 | PRODUCT LABELING. You are not authorized to use any Freescale | ||
186 | trademarks, brand names, or logos. | ||

188 | ENTIRE AGREEMENT. This Agreement constitutes the entire agreement | ||
189 | between you and Freescale regarding the subject matter of this | ||
190 | Agreement, and supersedes all prior communications, negotiations, | ||
191 | understandings, agreements or representations, either written or oral, | ||
192 | if any. This Agreement may only be amended in written form, executed | ||

195 | SEVERABILITY. If any provision of this Agreement is held for any | ||
196 | reason to be invalid or unenforceable, then the remaining provisions | ||
197 | of this Agreement will be unimpaired and, unless a modification or | ||
198 | replacement of the invalid or unenforceable provision is further held | ||
199 | to deprive you or Freescale of a material benefit, in which case the | ||
200 | Agreement will immediately terminate, the invalid or unenforceable | ||
201 | provision will be replaced with a provision that is valid and | ||
202 | enforceable and that comes closest to the intention underlying the | ||

205 | NO WAIVER. The waiver by Freescale of any breach of any provision of | ||
206 | this Agreement will not operate or be construed as a waiver of any | ||
